Wills & Trusts
Approximately half of all Americans die without a will. Even fewer people take simple measures during their lifetimes to preserve their wishes by planning their estates.
Trusts and Estates is a rapidly growing area of practice in the law that includes estate planning, managing your estate during life and disposing of your estate at the time of your death through the use of trusts, wills and other planning documents.
You may want to hire an attorney who handles matters in all areas of concern for your particular situation, and who will know enough about the other fields to question whether the action being taken might be affected by laws in other areas of law.
Last Will and Testament protects your loved ones by ensuring that you, not the court will decide how to distribute your assets.
Living Will Declaration states that a person who is terminally ill, with no expectation of recovery and death is imminent the life-prolonging procedures may be withheld or withdrawn.
Trusts & Estates can reduce your tax burden during your lifetime and save loved ones from hassles and tax consequences which minimize court involvement in the settling of your estate.
Probate proceeding is where a person's estate is administered and assets distributed, all under court supervision which can be avoided using proper estate planning.
Guardianship is the person who has the legal authority and the responsibility to care for the personal and property interests of another person, called a ward.
Revocable Living Trusts as a Living Trust is a legal document that resembles a will. It contains instructions for the executor/execute of assets should the Trust Creator become disabled and directions for the distribution of assets upon death.
Durable Power of Attorney with Health Care Surrogate & Pre-Need Guardian ensures that your wishes will be carried out in the event you are unable to make your own medical decisions. We will help you create documents to reflect your wishes and needs

Business Brokerage Law
Sanchez Law Offices, P.A. is a pioneer in what has been self termed: “Business Brokerage Law”. Business Brokerage is defined as the buying and selling of businesses, typically involving a business broker, with purchase prices ranging from $20,000.00 to over $10 million. Business brokerage deals with various other legal practice areas such as: contract law, intellectual property, real estate, taxes, insurance, local/state/federal law, labor & employment law, securities and financing.
Our firm specializes in representing Buyers and Sellers in the sale of businesses. We understand that every transaction is unique, however many of the same principals apply. You need experienced counsel that knows how to manage all the players in the transaction such as the accountants, attorneys, business brokers, promoters, bankers, local/state/federal government, property owners, insurance agents and much more.
We have managed transactions varying from $20,000.00 to over $10 million and from all different industries including, but not limited to, restaurants, salons, dental & medical practices, publishing, nightclubs, manufacturing, convenient stores and real estate companies. If the terms of the transaction have been reached, we can also serve as the escrow and closing agent.
In a business sale there are numerous issues important to both Buyer and Seller.
Sellers are always interested in being sure they get paid, especially if part of the purchase price is deferred. Sellers usually want to be certain that the Buyer will not later claim that something is not right or that they want to "back out" of the deal. Sellers are often concerned with continuing liability, such as with their prior customers, or with a landlord that requires them to remain liable on a lease assigned to the Buyer.
Buyers are generally concerned with getting what they paid for and not having to deal with prior liabilities or problems of the Seller.
A business sale may take different forms each requiring specific legal considerations. A few examples are:
- A Franchise Purchase may require the Buyer to be approved by the franchisor as well as the seller.
- A Bulk Sale escrow is the purchase of the business assets but not the business.
- A Sellers Continued Involvement with the business as a partial owner may create a partnership between the two parties.
- A Business Merger or Acquisition between two businesses, or the acquisition of one by the other.
A business sale often involves the need for other legal services, such as forming a business entity; negotiating and reviewing a commercial lease; creating Standard Terms and Conditions for the business; and preparing necessary employment agreements.
